Use of the website and service inquiries
Visitors may use the site to learn about Verdant Energy and submit inquiries for assessments or projects. Service agreements, payment, and cancellations
Service agreements will set forth payment terms, invoicing schedules, and accepted payment methods. Unless otherwise agreed, payments are due within thirty days of invoice. Delays in payment may result in suspension of deliverables or additional charges to cover administrative costs. For construction or equipment procurement, deposits and milestone payments may be required to secure vendor commitments and schedule installations. Cancellation or termination terms will be specified in the applicable agreement; early termination may result in fees to cover costs incurred and reasonable profit on services performed to date. For financed projects, termination and assignment provisions will reflect lender or lessor requirements when relevant. Verdant Energy will provide itemized invoices and reasonable documentation to support billed amounts. Disputes over invoiced amounts should be raised promptly to allow for timely resolution. Absent a good faith dispute, amounts not paid when due may accrue interest at a rate set in the agreement or at the maximum permitted by law, whichever is lower.
Warranties, disclaimers, and limitation of liability
Verdant Energy provides warranties and performance commitments only as expressly stated in written agreements. Except as explicitly included in a contract, materials on the website and any preliminary assessments are provided "as is" without warranty of any kind. We make reasonable efforts to ensure accuracy in modeling and proposals, but actual production can vary due to weather, site conditions, grid constraints, and other factors beyond our control. To the maximum extent permitted by law, Verdant Energy disclaims all implied warranties, including merchantability and fitness for a particular purpose, except as otherwise provided in a signed agreement. In no event will Verdant Energy be liable for indirect, incidental, special, consequential, or punitive damages arising from use of the site or services, even if advised of the possibility of such damages. Our aggregate liability for direct damages arising from a contract will be limited to amounts paid by the client under that contract during the twelve months preceding the claim, unless a different limitation is agreed in writing. This allocation of risk forms an essential basis of the bargain between the parties and is reflected in our pricing and contractual terms.
Intellectual property and content use
All website content, including text, images, icons, and design, is owned or licensed by Verdant Energy and protected by copyright and other intellectual property laws. Reuse, republication, or distribution of site materials for commercial purposes requires prior written permission. When a client receives deliverables such as engineering drawings, specifications, or software, the agreement will specify ownership and licensing terms for those deliverables. Verdant Energy typically grants clients a license to use project deliverables for operation and maintenance of the specific site, while reserving rights to proprietary methodologies, templates, and software used to produce those deliverables unless otherwise agreed. Governing law, dispute resolution, and contact
These Terms and any agreements with Verdant Energy are governed by the laws of the State of California, United States, without regard to conflict-of-law principles. Parties will attempt to resolve disputes in good faith through negotiation and, if necessary, non-binding mediation before initiating litigation. Unless otherwise agreed in writing, claims must be brought in the state or federal courts located in San Francisco County, California. If any provision of these Terms is held invalid, the remaining provisions will remain in force.
